    Default 2 year purchase agreement

    I'm quoting an order (products only) to an engineering firm in NY. They are reselling it to the gov't as part of a larger project. The products are to be delivered over a two year period as the customer requests them. Terms are prepaid (on the periodic shipments), so I don't have much risk. My risk is I have special pricing because the size of the order. If I the customer was to stop requesting product mid contract, my supplier may not honor the discount. I'm in the middle between a couple of pretty big companies.

    David, are you able to do a contract like this or should I find someone local?

    Other than a solid contract, anything else I should be thinking about in this. It's a pretty large order.

    Surely you could include a clause in your contract that if a certain level of purchases are not reached, within a given period, the price of all previous purchases will be recalculated on a stated scale.

    Seems very doable to me.
